Preferred Stock Offering Details: CIT Group Inc. (NYSE: CIT) (the "Company") today announced the pricing of its public offering of 325,000 shares of Fixed-to-Floating Rate Non-Cumulative Perpetual Preferred Stock, Series A (the "Series A Preferred Stock") at a public offering price of $1,000 per share. Dividends on the Series A Preferred Stock will accrue and be payable at a fixed rate per annum equal to 5.80% from the original issue date to, but excluding, June 15, 2022 semi-annually in arrears, and thereafter at a floating rate per annum equal to the three-month LIBOR on the related dividend determination date plus a spread of 3.972% per annum quarterly in arrears beginning on September 15, 2022. CIT expects the offering to settle on June 7, 2017, subject to customary closing conditions. CIT plans to use the net proceeds for general corporate purposes, including returning capital to its shareholders.

CIT Group is a bank holding company and a financial holding company. Through its subsidiaries, Co. provides financing, leasing and advisory services principally to middle-market companies in a range of industries, primarily in North America. Co. also provides banking and related services to commercial and individual customers through its banking subsidiary, CIT Bank, N.A. Co. manages its business in two operating segments: Commercial Banking, which provides a range of lending, leasing and deposit products, as well as ancillary products; and Consumer Banking, which is comprised of two divisions: Consumer and Community Banking and Legacy Consumer Mortgages.
