Prospectus excerpt: Dividends on the $2.8575 Cumulative Preferred Stock (the "Preferred Stock") of Republic New York Corporation (the "Corporation") will be cumulative from the date of original issue and will be payable on January 1, April 1, July 1 and October 1 of each year, commencing January 1, 1998. The amount of dividends payable in respect of the Preferred Stock will be adjusted in the event of certain amendments to the Internal Revenue Code of 1986, as amended, in respect of the dividends-received deduction. The Preferred Stock may be redeemed at the option of the Corporation, in whole or in part, at any time or from time to time, on or after October 1, 2007 at $50 per share, plus, in each case, dividends accrued and accumulated but unpaid to the redemption date.
