Prospectus excerpt: We are issuing non-cumulative Dollar Preference Shares, Series N, or Series N preference shares, which will be sold in the form of American Depositary Shares, Series N, or Series N ADSs. Dividends on the Series N preference shares will accrue from the date of original issuance. We may pay dividends out of our distributable profits in US dollars quarterly in arrears on March 31, June 30, September 30 and December 31 of each year, beginning on June 30, 2005, at the rate of US$1.5875 annually per Series N preference share. We may redeem the Series N preference shares in whole or in part at any time on or after June 30, 2010 at US$25.00 per Series N preference share plus accrued dividends for the then-current dividend period. If we are liquidated, you will be entitled to receive a liquidation preference of US$25.00 per Series N preference share plus accrued dividends for the then-current dividend period, but only after we have paid all of our debts and other liabilities to our creditors and to holders of any of our capital shares that are senior to the Series N preference shares.
