(the "Company") (Nasdaq: DCOM) today announced that it has priced an underwritten public offering of 2,608,000 shares, or $65,200,000 million in aggregate liquidation preference, of its 5.50% Fixed-Rate Non-Cumulative Perpetual Preferred Stock, Series A, par value $0.01 per share (the "Preferred Stock"), with a liquidation preference of $25.00 per share. The Company has granted the underwriters a 30-day option to purchase up to 391,200 additional shares of Preferred Stock.

Dime Community Bancshares is a bank holding company. Through its subsidiary, Dime Community Bank (the Bank), Co.'s primary business is gathering deposits from customers within its market area and via the internet, and investing them primarily in multifamily residential, commercial real estate, commercial and industrial loans, and one-to-four family residential real estate loans, as well as mortgage-backed securities, obligations of the U.S. government and government- sponsored enterprises, and corporate debt and equity securities. The Bank provides deposit accounts, including savings, money market, interest bearing and non-interest bearing checking accounts, and certificates of deposit.
