Prospectus excerpt:  We are offering to the public 7,000,000 shares of our 6.25% Series F Fixed-to-Floating Rate Cumulative Redeemable Preferred Stock, par value $0.01 per share, which we refer to in this prospectus supplement as the Series F Preferred Stock. This is the initial issuance of the Series F Preferred Stock. Holders of the Series F Preferred Stock will be entitled to receive cumulative cash dividends (i) from and including the original issue date to, but excluding, October 30, 2026 at a fixed rate equal to 6.25% per annum of the $25.00 per share liquidation preference (equivalent to $1.5625 per annum per share) and (ii) from and including October 30, 2026 at a floating rate equal to a benchmark rate (which is expected to be Three-Month Term SOFR (as defined below)) plus a spread of 5.442% per annum of the $25.00 per share liquidation preference, or the Floating Rate; provided, however, that in no event shall the Floating Rate be lower than the Dividend Floor (as defined herein). Dividends will be payable quarterly in arrears, on or about the 30th day of January, April, July and October of each year, when and as declared, beginning on January 30, 2022 (long first dividend period). Dividends will accumulate and be cumulative from and including the date of original issuance of the Series F Preferred Stock.
