Prospectus excerpt: ASBC Capital I is a Delaware business trust. The trust will: - - sell TOPrS, or the "preferred securities," representing undivided beneficial interests in the assets of the trust to the public;- - sell common securities representing undivided beneficial interests in the assets of the trust to Associated Banc-Corp;- - use the proceeds from these sales to buy an equal principal amount of junior subordinated debentures due June 15, 2032 of Associated Banc-Corp; and - - distribute the cash payments it receives on the junior subordinated debentures it owns to the holders of the TOPrS and common securities. QUARTERLY DISTRIBUTIONS:- - For each TOPrS that you own, you will receive cumulative cash distributions at an annual rate equal to 7 5/8% on the liquidation amount of $25 per TOPrS, on March 15, June 15, September 15 and December 15 of each year, beginning September 15, 2002.- - Associated Banc-Corp can defer interest payments on the junior subordinated debentures at any time for up to 20 consecutive quarterly periods. If Associated Banc-Corp does defer interest payments, the trust will also defer payment of distributions on the TOPrS and common securities. however, deferred distributions will themselves accrue interest at an annual rate equal to7 5/8%, compounded quarterly, to the extent permitted by law.
