Prospectus excerpt:  We are offering 20,000,000 depositary shares, each of which represents a 1/1,000th interest in a share of our 7.750% Fixed-Rate Reset Perpetual Non-Cumulative Preference Shares, Series E, $1.00 par value and $25,000 liquidation preference per share (equivalent to $25.00 per depositary share) (a “Series E Preference Share”). Each depositary share, evidenced by a depositary receipt, entitles the holder, through the depositary, to a proportional fractional interest in all rights and preferences of the Series E Preference Shares represented thereby (including any dividend, liquidation, redemption and voting rights). We will pay dividends on the Series E Preference Shares only when, as and if declared by our Board of Directors or a duly authorized committee thereof. Any such dividends will be payable from the date of original issuance on a non-cumulative basis, quarterly in arrears on the 30th day of March, June, September and December of each year, beginning on March 30, 2023, at a rate equal to 7.750% of the liquidation preference per annum up to but excluding December 30, 2027.
