Prospectus excerpt:  The 6.75% Series D Cumulative Redeemable Preferred Stock will not be redeemable before December 9, 2009 except under limited circumstances intended to preserve our status as a real estate investment trust for federal income tax purposes. Beginning December 9, 2009, we may redeem the Series D Preferred Stock, in whole or in part, at $25.00 per share plus accrued and unpaid dividends. Dividends on the Series D Preferred Stock will be cumulative from the date of issuance and are payable quarterly at a rate of 6.75% of the liquidation preference per annum. The initial dividend payment will be made on March 31, 2005 to the holders of record as of the close of business on March 15, 2005. The shares of Series D Preferred Stock have no stated maturity, will not be subject to any sinking fund or mandatory redemption and will not be convertible into any of our other securities.
