Prospectus excerpt: We are offering 4,800,000 of our 6.625% Series A Cumulative Redeemable Preferred Shares of Beneficial Interest, $0.01 par value per share (the “Series A Preferred Shares”). Distributions on the Series A Preferred Shares will be payable quarterly in arrears on the 15th day of January, April, July and October of each year (or, if not on a business day, on the next succeeding business day). The distribution rate is 6.625% per annum of the $25.00 liquidation preference, which is equivalent to $1.65625 per annum per Series A Preferred Share. The first distribution on the Series A Preferred Shares sold in this offering will be paid on October 15, 2021 (long first dividend period) and will be in the amount of $0.48307 per share. All of Co.'s assets are held by, and all operations are conducted via its operating partnership, Chatham Lodging, L.P., which leases Co.'s wholly owned hotels to taxable REIT subsidiary lessees. Co.'s wholly owned hotels include hotels that operate under the Residence Inn by Marriott® brand and Homewood Suites by Hilton® brand, as well as hotels that operate under the Courtyard by Marriott® brand, the Hampton Inn or Hampton Inn and Suites by Hilton® brand, the Hilton Garden Inn by Hilton® brand, the SpringHill Suites by Marriott® brand, the Hyatt Place® brand and all suite hotels that operate under the Embassy Suites brand®.
