Prospectus excerpt:  Holders of QUIPS will be entitled to receive quarterly cumulative cash distributions at an annual rate of 6.500% of the stated liquidation preference of $25 per QUIPS (the ÙDistributionsˆ). Interest on the QUIDS will also accrue at an annual rate of 6.500%, and as a result Distributions on the QUIPS will accumulate, from the original date of issuance, and will be due to be paid quarterly in arrears on March 31, June 30, September 30 and December 31 of each year, beginning June 30, 2004. The QUIDS are scheduled to mature on March 18, 2034. HECO Capital Trust III will redeem all of the outstanding QUIPS when the QUIDS are repaid at maturity.

Co. and its operating utility subsidiaries, Hawaii Electric Light Company, Inc. and Maui Electric Company, Limited are regulated electric public utilities that provide essential electric service to Hawaii's population through the operation of five separate grids that serve communities on the islands of Oahu, Hawaii, Maui, Lanai, and Molokai. Co. also owns ASB Hawaii, Inc. and its subsidiary, American Savings Bank, F.S.B., a financial institution in the State of Hawaii.
