The Series A Preferred Stock is convertible at any time into shares of Common Stock at a conversion rate of eight shares of Common Stock for each share of Series A Preferred Stock, subject to adjustment for certain events. The Series A Preferred Stock is redeemable at the option of the Corporation at $80 per share plus accrued and unpaid dividends.
