Holders of our convertible special stock will be entitled to receive, when, as and if declared by our Board of Directors, cumulative dividends at the rate of 6.00% per annum on the liquidation preference of $1,000 per share of convertible special stock, payable in cash, common stock or a combination thereof at our election, quarterly in arrears on February 1, May 1, August 1 and November 1 of each year, beginning on August 1, 2015. Dividends will accumulate from the most recent date on which dividends have been paid or, if no dividends have been paid, from the date of original issuance of the convertible special stock.
