Prospectus excerpt: Each of the depositary shares offered hereby represents a 1/30 fractional interest in a share of our 6.75% Series D Cumulative Redeemable Preferred Shares, par value $.03 per share, deposited with Mellon Investor Services LLC as depositary. Each depositary share entitles the holder to a proportionate share of all rights and preferences of the Series D Preferred Shares (including dividend, voting and liquidation rights and preferences). The liquidation preference of each Series D Preferred Share is $750 (equivalent to $25 per depositary share), plus an amount equal to accumulated and unpaid dividends. The Series D Preferred Shares and the depositary shares will not be redeemable before April 30, 2008. Beginning April 30, 2008, we may redeem Series D Preferred Shares at $750 per share (equivalent to $25 per depositary share) plus accumulated and unpaid dividends. Dividends on the Series D Preferred Shares will be cumulative from the date of issuance and are payable quarterly, starting June 16, 2003. Weingarten Realty Investors is a real estate investment trust. Co. is engaged in the business of owning, managing and developing retail shopping centers. Co.'s primary business is leasing space to tenants in the shopping centers it owns or leases. Co. also provides property management services to either joint ventures where Co. is partners or other outside owners. Co.'s centers are designed to accept local area customers and are anchored by a supermarket or other national tenants (such as Kroger, HEB or T.J. Maxx). The centers are primarily neighborhood and community shopping centers that often include discounters, retailers and specialty grocers as additional anchors or tenants.
